NON-DISCLOSURE AGREEMENT

It is understood and agreed that the discloser of confidential information may provide certain information that is and must be kept confidential. To ensure the protection of such information, and to preserve any confidentiality necessary, it is agreed that :

1. The Discloser intends to disclose information (the Confidential Information) to the Recipient.
The Confidential Information to be disclosed can be described as and includes:

Ideas, Trends, drawings and illustrations, Pattern designs, color range, regardless of whether such information is designated as “Confidential Information” at the time of its disclosure.

2. The Recipient undertakes not to use the Confidential Information for any purpose except in the case of the purchase of some designs by the recipient himself.

3. The Recipient agrees to keep the Confidential Information secure and not to disclose the confidential information obtained from the discloser to any third party [except to its employees [and professional advisers] who need to know the same for the Purpose, who know they owe a duty of confidence to the Discloser and who are bound by obligations equivalent to those in clause 2 above and this clause 3.

4. This Agreement states the entire agreement between the parties concerning the disclosure of Confidential Information.

The recipients acknowledge that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein.
